Director’s Resignation and New Director’s Appointment

This template resolution is suitable where the company intends to appoint a director and the resignation of a director on the same date. Generally, the incoming director has to submit a Form 45 for the consent to act as a director, the outgoing director has to submit a resignation letter and the board passes a resolution accepting both the resignation and the incoming director’s appointment, before lodging the notice and change with the Accounting and Regulatory Authority of Singapore (ACRA) through Bizfile with the help of a company secretary.
